Imperial is hiring a Corporate Paralegal for a full-time, on-site position in Edmonton, Alberta. This corporate legal opportunity supports the Corporate Secretary and Board Secretariat team with governance, regulatory compliance, corporate records and Board of Directors administration.
The successful candidate will coordinate board and committee activities, maintain records for Imperial Oil Limited and its affiliated entities and support corporate filings and governance disclosures. The position requires careful organization, discretion and the ability to manage sensitive legal and business information in a professional environment.
About This Corporate Paralegal Position
The Corporate Paralegal will help ensure that Imperial’s board, committee and corporate governance processes operate efficiently. The role involves preparing meeting materials, drafting minutes, tracking decisions and supporting the Corporate Secretary, Board Chair and senior management before and after formal meetings.
The position also supports the legal maintenance of Imperial Oil Limited and approximately 30 affiliated entities. This includes maintaining minute books and entity databases, coordinating corporate changes and preparing documents required for annual filings, restructurings and other corporate activities.
Key Areas of Responsibility
The role combines board administration, corporate records management and regulatory support. The successful candidate must complete detailed work accurately while responding proactively to changing priorities and time-sensitive governance requirements.
Board Meeting Coordination
Help plan, schedule and coordinate meetings of the Board of Directors and its committees, including venue, virtual meeting and technology arrangements.
Agendas and Meeting Materials
Prepare draft agendas and compile confidential meeting packages in collaboration with the Corporate Secretary, Board Chair and senior management.
Minutes and Action Items
Attend board and committee meetings, prepare accurate draft minutes and track follow-up responsibilities assigned to management or other participants.
Corporate Records
Maintain minute books, organizational charts, entity databases and other official records for Imperial Oil Limited and affiliated corporate entities.
Corporate Filings
Prepare annual returns, governance disclosures and other required filings while coordinating director and officer changes across applicable jurisdictions.
Entity Transactions
Support corporate formations, dissolutions, amalgamations and reorganizations and draft directors’ or shareholders’ resolutions when required.
Governance and Secretariat Support
The Corporate Paralegal will use Imperial’s board portal, currently Nasdaq Boardvantage, to organize and distribute meeting materials securely. Familiarity with board management platforms may be helpful, although the posting does not identify prior Boardvantage experience as a formal requirement.
The role will also assist with annual meeting preparation and director onboarding. Because the position supports senior executives and directors, candidates must demonstrate professionalism, sound judgement and careful handling of confidential documents and sensitive corporate information.

Qualifications, Location and Benefits
Imperial prefers candidates with a diploma or certificate from a Paralegal Studies or Legal Assistant program and at least two years of corporate paralegal experience. Experience gained with a public company or law firm, maintaining entities across several jurisdictions and supporting boards of directors would be particularly relevant. Alberta CORES Level 2 or Level 3 certification is preferred.
The successful candidate will be located in Edmonton. Imperial states that its corporate offices are currently in Calgary and that some travel to Calgary will be required before the planned head-office relocation is completed in 2028.
